These Terms of Service (“Terms”) govern your access to and use of the VerifiedProxy platform, API, and related services (the “Service”) provided by VerifiedProxy (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you have the authority to bind your organisation to these Terms. If you do not agree, you must not use the Service.
2. Description of Service
VerifiedProxy provides an identity and credential verification layer for AI agents. The Service allows organisations to register AI agents, issue verifiable credentials, and enable third-party platforms to verify agent identity and authority through our public API.
3. Account Registration & Responsibilities
You agree to:
- Provide accurate, complete, and current information when registering
- Maintain the security of your account credentials and API keys
- Notify us immediately of any unauthorised access to your account
- Accept responsibility for all activity that occurs under your account
You are solely responsible for the AI agents you register and the credentials you issue through the Service. You represent and warrant that you have the authority to register each agent and that the information you provide about your organisation and agents is accurate.
4. Public Verification API & Data Visibility
You acknowledge and agree that the following information will be made publicly available through our verification API:
- Your organisation name and identifier
- Registered agent identifiers and their credential status
- Scope of authority associated with each agent credential
- Credential issuance and expiry timestamps
This public visibility is a fundamental feature of the Service. It enables third-party platforms to independently verify that an AI agent is authorised to act on behalf of your organisation. By using the Service, you expressly consent to this information being publicly accessible and queryable by any party.
You are responsible for ensuring that you have the necessary rights and authorisations within your organisation to make this information publicly available.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Register agents or issue credentials for fraudulent or deceptive purposes
- Impersonate another organisation or misrepresent your authority
- Attempt to gain unauthorised access to the Service or its systems
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to facilitate activities that harm or exploit others
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Exceed published API rate limits or abuse the verification API
6. Intellectual Property
The Service, including its design, code, documentation, and branding, is owned by VerifiedProxy and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or branding. You retain ownership of the data you submit to the Service, subject to the licence granted in Section 4 regarding public API visibility.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement
- VerifiedProxy does not warrant that the Service will be uninterrupted, error-free, or completely secure
- VerifiedProxy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim
8. Indemnification
You agree to indemnify, defend, and hold harmless VerifiedProxy, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- The actions of any AI agents registered under your account
- Any disputes between you and third-party platforms arising from agent verification
9. Disclaimer of Responsibility for Agent Actions
VerifiedProxy provides identity verification infrastructure only. We do not control, supervise, or assume any responsibility for the actions taken by AI agents registered on the platform. Specifically:
- We do not guarantee the behaviour, reliability, or safety of any registered AI agent
- We are not a party to any transaction or interaction between your agents and third-party platforms
- We are not liable for any loss, damage, or harm caused by agents acting within or beyond their verified scope
- Verification of an agent’s credential confirms only that the credential was issued by the stated organisation — it does not constitute an endorsement, guarantee, or approval of the agent’s actions
10. Suspension & Termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, or if required by law. Upon termination:
- All agent credentials issued under your account will be revoked
- You will lose access to the Service and any associated data
- Provisions that by their nature should survive termination will survive, including Sections 7, 8, 9, and 12
You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred before termination.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
12. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VerifiedProxy regarding the Service and supersede any prior agreements.
